IP Asset Purchase Agreements

An IP Asset Purchase Agreement is a legal agreement that deals with the transfer of intellectual property assets. In this agreement, the seller of the intellectual property assets transfers the assets to the buyer for consideration. An IP Asset Purchase Agreement sets the value of a seller’s IP assets and ensures the protection of the buyer’s IP assets. Trademark Licenses

A trademark license is an agreement that allows the licensor to grand the rights to use its trademark to a licensee, while the licensor retains ownership of the trademark. This license can be an exclusive, perpetual arrangement for third party use, or it can be narrowly constructed to only allow the third party to use the trademark, e.g. on a portion of your identified goods or services, for a limited period of time, or in a defined geographic area. We work with our clients on either side of a license agreement to make sure it meets the licensor’s or licensee’s needs to accomplish its business goals.

Trademark Assignments

A trademark assignment transfers ownership of a trademark to a third party. The transfer of ownership must then be recorded with applicable trademark offices in the U.S. and around the world so that the chain of title is clear. We work with our clients on either side of an assignment to make sure that the registered and unregistered marks are properly transferred and recorded.
